Terms of Service

These Terms of Service ("Terms") apply to the Gradely mobile app and to this website, gradelypro.com (together, the "App"). By downloading, installing, or using Gradely, or by using this website, you agree to be bound by these Terms. If you do not agree, do not use the App.

We may update these Terms at any time. Continued use of the App after any changes constitutes your acceptance of the revised Terms.

What Gradely Does

Gradely is a read-only tool that displays academic information — grades, assignments, courses, and calendar events — retrieved directly from your school's Canvas LMS using a Canvas access token you generate and authorize.

Gradely does not modify, submit, alter, or interact with your grades or academic records in any way. The App is a viewer only.

Eligibility

You must be at least 13 years of age to use Gradely. By using the App, you represent that you meet this requirement. If you are under 13, you may not use the App.

Acceptable Use

You agree to use Gradely only for its intended purpose of viewing your own academic information. You agree not to:

  • Attempt to reverse engineer, decompile, or extract data from the App
  • Use automated tools or scripts to access the App or the data it displays
  • Attempt to access another person's academic information
  • Use the App for any unlawful purpose
  • Interfere with or disrupt the operation of the App

No Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will be available at any particular time
  • Information displayed will be accurate, complete, or current
  • The App will be free of errors or interruptions

Grade information comes directly from your school's Canvas systems. We have no control over and make no representations about that data.

Accuracy of Information

All academic data displayed in Gradely is sourced directly from your school's Canvas instance. Gradely does not verify, audit, or guarantee the accuracy of this information.

Do not make important academic, financial, or personal decisions based solely on information shown in this App. Always verify directly with your institution. Gradely is not responsible for any consequences arising from reliance on information displayed in the App.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADELY AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or academic standing
  • Decisions made based on grades displayed in the App
  • Service interruptions or App unavailability
  • Any errors in data provided by Canvas or your institution

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP. IF THE APP WAS FREE, OUR LIABILITY IS LIMITED TO $0.

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Gradely and its developers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another person or entity.

Third-Party Services

The App connects directly to Canvas, the learning management system operated by your school. Your use of the App is subject to Canvas's and your school's own terms and policies. We are not responsible for Canvas's availability, practices, or the accuracy of data it provides.

Gradely is not affiliated with, endorsed by, or officially connected to any educational institution or to Instructure (the maker of Canvas).

Intellectual Property

The Gradely name, logo, design, and original content are the property of Gradely and are protected by applicable law. Nothing in these Terms grants you any right to use our trademarks, branding, or proprietary content.

Your educational data belongs to you and your institution. Gradely claims no ownership over any academic information displayed in the App.

Termination

We may suspend or terminate your access to the App at any time, for any reason, without notice or liability.

You may stop using the App at any time by deleting it from your device. Sections of these Terms that by their nature should survive termination will do so, including warranty disclaimers, limitations of liability, and indemnification.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gradely regarding your use of the App, and supersede all prior agreements, understandings, or representations relating to the same subject matter.

Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the App will be resolved in the appropriate courts, and you consent to personal jurisdiction in such courts.
